This Programmable Controller Purchase Contract (the “Contract”) is made and entered into as of [date] (the “Effective Date”) by and between [Seller] (the “Seller”) and [Buyer] (the “Buyer”).

WHEREAS, Seller is in the business of selling Allen Bradley Programmable Controllers (the “Product”); and

WHEREAS, Buyer desires to purchase the Product from Seller;

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

1. Purchase and Sale. Seller agrees to sell and Buyer agrees to purchase the Product in accordance with the terms and conditions of this Contract.
